Solace Spark Institute shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, but not limited to, acts of God, war, terrorism, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials (force majeure). In no event shall Solace Spark Institute or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the services, even if advised of the possibility of such damages. The maximum aggregate liability of Solace Spark Institute under these Terms for any claim is limited to the amount paid by you for the services in the six months preceding the claim.

Any legal action or proceeding arising under these Terms that cannot be resolved through direct negotiation or mediation shall be submitted to the exclusive jurisdiction of the Seoul Central District Court in the Republic of Korea. Both parties hereby consent to the jurisdiction and venue of such courts for any such legal proceedings. Alternative dispute resolution options, such as arbitration, may be considered if mutually agreed upon in writing by both parties.
